Submission of Matters to a Vote of Stockholders

(a) On June 5, 2019, the Spero Therapeutics, Inc. (the “Company”) held its 2019 annual meeting of stockholders (the “Annual Meeting”). Of the 17,422,878 shares of common stock issued and outstanding and eligible to vote as of the record date of April 8, 2019, a quorum of 12,195,465 shares, or 70% of the outstanding shares, were present in person or by proxy.

(b) The following actions were taken at the Annual Meeting:
